These Terms of Service ("Terms") govern your access to and use of the products, services, and web-based tools provided by bTrans Technologies ("bTrans," "we," "us," or "our"). By using our services, you agree to be bound by these Terms.
1. Acceptance
These Terms apply to all purchase orders, quotations, and sales of goods or services by bTrans unless superseded by a written supply agreement signed by both parties. Any conflicting terms submitted by the customer (Buyer) are expressly rejected and have no force or effect.
2. Delivery
All shipments are FOB Origin (bTrans facility), unless otherwise agreed in writing. Risk of loss passes to the Buyer upon delivery to the carrier.
3. Pricing and Payment
Prices exclude applicable taxes, duties, and fees unless otherwise noted. Terms are COD unless credit arrangements are pre-approved. Invoices not paid by the due date are subject to 1.5% monthly interest (or the maximum rate allowed by law). Buyer grants bTrans a security interest in all products until paid in full.
4. Returns
Product returns are not accepted except in cases where a return is authorized by the original manufacturer or vendor. If such return is approved, it must be requested within 30 days from the original shipment date and is subject to a 20% restocking fee. Software, SaaS subscriptions, license keys, and digital services are non-refundable. Use of such products constitutes agreement to the associated software terms.
5. Warranty and Limitation of Liability
Hardware warranties are passed through from the manufacturer. bTrans provides a 30-day workmanship warranty for installation services. bTrans disclaims all other warranties, including merchantability and fitness for a particular purpose. In no event shall bTrans be liable for indirect, special, incidental, or consequential damages.
6. Non-Disclosure
Buyer agrees not to disclose or share confidential information, including pricing, product configurations, or custom terms, with any third party outside their organization without written consent from bTrans.
7. Governing Law
These Terms are governed by the laws of the State of Florida. Venue for any disputes shall be Pinellas County, FL or the jurisdiction where the Buyer resides, at bTrans’ sole discretion.
8. Modifications
bTrans may update these Terms from time to time. The latest version will always be available on our website and shall apply to all current and future transactions unless otherwise agreed in writing.
